Corporate M& A Lawyer

Our client, a leading exploration company with operations in multiple countries and a robust portfolio of development and exploration assets globally is currently seeking a 5 plus year Corporate M& A Counsel to provide legal counsel on corporate matters, including complex transactions, contract negotiation, compliance with international and domestic laws, and other related activities. This position, based in Denver, Colorado, reports directly to the Vice President, Legal & Land. The merger and acquisition attorney will have 5 plus years of experience with merger and acquisitions and strong commercial contracting experience.

Responsibilities include:

  • Conducting transactional work to support the business.

  • Negotiating and drafting various agreements such as M& A agreements, exploration agreements, mining leases, and supply chain contracts.

  • Providing legal advice on legislative and regulatory matters at all levels.

  • Advising on subsidiary governance and corporate compliance.

  • Offering guidance on public land and exploration matters.

  • Managing transaction-related disputes and litigation.

  • Assisting in the preparation and management of company contract templates.

  • Keeping abreast of regulatory changes affecting company operations.

  • Providing support for public disclosure and securities filings.

Qualifications:

  • Juris Doctor or equivalent degree from an accredited law school.

  • 5 plus years' experience with a reputable law firm or in-house legal department.

  • Strong business transactional experience, including negotiation and drafting.

  • Preferred experience in oil & gas, mining, and exploration

Requirements

  • Juris Doctor or equivalent degree from an accredited law school.

  • 4-6 years' experience with a reputable law firm or in-house legal department.

  • Strong business transactional experience, including negotiation and drafting.

  • Preferred experience in mining, natural resources, or related fields.

  • Ability to work independently, exercise good judgment, and take ownership of issues.

  • Excellent communication skills, both verbal and written.

  • Professionalism, integrity, and strong interpersonal skills.

  • Comfortable working in a diverse, fast-paced environment.

  • Ability to make decisions within the scope of authority and find creative solutions to business problems.

  • Confidence in legal and business negotiations.
