Americold Logistics LLC Manager, Corporate Governance - 53437 in Atlanta, Georgia

Primary Responsibility:

Manage a range of legal issues to support the corporate Legal Department, primarily focused on corporate governance, organization structure, reporting, and filings for a publicly-traded company and its approximately 120 subsidiary companies, foreign and domestic.

What You'll Do: Responsible for managing the Corporate Governance calendar, and ensuring that all corporate governance matters are timely met by Company including filings by company attorneys. Responsible for managing the Diligent filing documents for all Board records and postings. Responsible for managing all corporate board books and records to include by-laws, shareholder agreements, resolutions, minute books, certificates, awards, options, and related documents for a publicly traded Real Estate Investment Trust and its approximately 120 subsidiary companies, foreign and domestic. Responsible for preparation and filing of annual reports, licenses, permit applications, and other filings as needed with state and federal agencies and departments including the Securities and Exchange Commission. Drafting, for corporate counsel, corporate documents related to merger, disposition of corporate subsidiaries, including entity formation, entity dissolution, entity foreign qualifications, obtaining DBAs and EINs. Responsible for maintaining subsidiary lists, entity charts, officer/director designations for entities. Responsible for supporting legal Real Estate function including the drafting and negotiation of Purchase and Sale Agreements, closing documents, company leases, customer rental agreements, and ancillary documents including subleases, easements, licenses, subordination agreements, and other real estate transactions and documents; assist in due diligence and coordinate with outside counsel. Responsible for managing Intellectual Property files and records to include trademark applications, copyright filings, renewals, and certificates. Responsible for managing communications with Finance group and external auditors related to Company's financing, acquisition, tax, due diligence, and other efforts. Interact with outside counsel, internal clients, and customers, to include acting as primary point of contact for external and internal corporate information requests. Perform research and data collection. Responsible for supporting Company's Document Retention and Destruction Policy.

What Experience and Education You Need: 15 years' work experience in a Paralegal or Manager role managing governance documents for public companies and multiple subsidiaries. Prior in-house experience preferred. Paralegal certification preferred. Strong computer skills including knowledge of Microsoft applications and contract databases including specifically Excel, Counsel Link, Paperwise, or equivalents. Experience with Diligent or other board management software system preferred.

In-depth knowledge of corporate governance and compliance obligations for public companies with multiple subsidiaries. Excellent writing, organizational, negotiation, problem-solving, and interpersonal skills. Strong customer service orientation. Ability to work independently and multitask in a fast-paced, sometimes unstructured environment. Capability to build systems and processes.

Physical Requirements: Requires the ability to sit for long periods of time, with frequent interruptions. Requires several hours per day of sitting, getting up and down from chairs, and reaching, or bending. Requires manual dexterity with normal hand and finger movements for typical office work. Talking, hearing, and seeing are important elements of completing assigned tasks. May require travel by automobile and airplane for busines . May require a visit to facility operations in temperatures at or below freezing. May carry loads related to travel and occasionally lifts, carries, positions, or moves objects weighing up to 20 pounds. Requires the use of various electronic tools. Requires the ability to relate to others beyond giving and receiving instructions: must partner with colleagues without exhibiting behavioral extremes. Requires the performance of work activities including reasoning, negotiating, instructing, persuading, or speaking with others; and respond appropriately to constructive feedback from executive management.
