CareFirst Vice President & Deputy General Counsel (Hybrid) in Baltimore, Maryland

Resp & Qualifications

PURPOSE:

The Deputy General Counsel leads CareFirsts Office of Corporate Counsel (OCC), with approximately 70 indirect reports, and is responsible for providing excellent, consistent, and comprehensive legal services to all CareFirst companies, divisions and leaders. Inter alia, the Deputy General Counsel (1) develops and communicates the strategic vision for the Office and its teams, and builds, maintains and supports each of those teams; (2) serves as the Companys lead legal counselor on significant matters, in partnership with the General Counsel; (3) maintains deep and current knowledge of the most relevant areas of law and understands of their impact on CareFirst businesses; (4) maintains excellent relationships with key regulators, negotiates key regulatory issues, and oversees all administrative litigation; (5) maintains effective legal review and negotiation of CareFirst contracts, and including development of effective contracting teams; (6) maintains and improves the operations of the Office of Corporate Counsel with appropriate use of technology support; (7) supervises and coordinates the activities of outside counsel, manages the Companys budget for outside counsel, and ensures the delivery of effective legal services by outside counsel; (8) supports the General Counsel in managing the Boards and corporate records of CareFirst and its subsidiary companies; and (9) develops and manages the Office of Corporate Counsel budget, ensuring delivery of efficient legal services.

ESSENTIAL FUNCTIONS:

Leadership of the Office of Corporate Counsel:

  • Oversees the strategic and the day-to-day activities of the Office of Corporate Counsel, including directing, coaching, and guiding associates to implement departmental, divisional, and organizational mission/goals. Recruits, retains and develops a high performing team. Evaluates performance of each team member, generates development plans and sets goals within the context of the corporate policies and procedures. Ensures that the OCC has the training and skillset required to fulfill its mission. Develops annual goals, and prepares, monitors, and analyzes variances of departmental budgets to control and appropriately allocate resources.

Legal Counseling:

  • Manages attorney staff and work product on all legal issues, to deliver efficient, consistent, accurate, and insightful advice that reflects an understanding of CareFirsts business operations, strategy, and related risks.

  • Leads in the development of legal strategies to facilitate important corporate initiatives, such as new business ventures.

  • Participates in and provides legal advice and preparation of documents for especially significant executive corporate projects which require comprehensive knowledge of the disparate parts of CareFirst and applicable laws.

  • Develops and supports the leadership of the regulatory analysis team, which interprets and supports the implementation of new laws and regulations.

Legal and Benefit Contracting:

  • Manages contract attorney staff and corporate counsel in the preparation and timely of contract documents that mitigate and manage legal risks and are appropriate to the matters under contract.

  • Provides direct leadership on contract matters of particular significance to CareFirst.

  • Develops and supports the leadership of the Procurement Contract Management team, which reviews and works closely with the Strategic Sourcing team.

  • Develops and supports the leadership of the Benefit Contract Management team, which drafts, obtains approval of, and generates all member benefit contracts, policy forms, self-insured benefit materials and administrative service agreements.

External Representation:

  • Works effectively with and maintains relationships with State and Federal regulatory agencies that impact CareFirst, such as the Maryland Insurance Administration, Department of Insurance Securities and Banking, State Attorneys General, Department of Labor, Department of Justice and others.

  • Provides counsel on regulatory and other areas of legal compliance, represents CareFirst in negotiations with regulatory agencies, and oversees administrative litigation.

  • Develops and oversees an effective internal litigation team and manages external litigation by and against the CareFirst companies, including management of internal and external legal costs and quality.

Other Company Leadership:

  • Provides strategic leadership within the Company; serves as OCC representative on key committees and groups; acts as a strategic thought partner and consensus builder on non-legal matters where required and facilitates strategic and cross-functional approaches to Company problems.

Board Management and Support:

  • Supports the General Counsel and other corporate governance staff with the Boards and Committees of the CareFirst companies, including appropriate management of boards, committees, and corporate records.

QUALIFICATIONS:

Education Level: Juris Doctor Degree and admission to the Maryland Bar.

Experience: 10 to 15 years of related experience and 8 to 10 years of increasingly responsible management experience.

Knowledge, Skills and Abilities (KSAs)

  • Excellent oral and written communication skills, and mediation negotiation, and counseling skills.

  • A proven ability to work with and provide excellent legal services to executive leadership, achieving positive resolutions and creative results on strategic legal issues.

  • A deep understanding of the areas of law relevant to CareFirst, including but not limited to Federal and State laws pertaining to health insurance and health benefits, care management and delivery of health care services, self-insured and ERISA health plans, mergers and acquisitions, strategic corporate investments and partnerships, non-profit organizations, and state government operations.

  • A proven ability to lead a team of approximately 70 indirect reports, develop and mentor key leaders, and produce excellent operational results.

  • An understanding of and experience with available legal technologies and potential operational improvements.

  • Experience with litigation management, including management of outside counsel and production of excellent litigation results.

  • An ability to manage to and meet budget targets, develop a proactive vision for long-term success, and manage toward that vision.

  • Experience working with and demonstrated results in negotiations with relevant State and Federal regulators

  • Experience coordinating with internal and cross functional teams to achieve strategic business goals and demonstrable results.

Salary Range: $268,880 - $403,320

This compensation range is specific and considers factors such as (but not limited to) the scope and responsibilites of the position, the candidate's work experience, education/training, internal peer equity, and market and business consideration.
