POSITION SUMMARY:
Advanced Energy is hiring for Commerical Counsel. In this role you will be primarily responsible for timely reviewing, revising, and negotiating commercial contracts including all customer contracts and certain real estate leases and vendor contracts. This role will also support the contracts review infrastructure including maintaining templates and playbooks. Commercial Counsel may also provide other Legal department support.
RESPONSIBILITIES:
Review, revise, and negotiate commercial contracts including all customer contracts and certain real estate leases and vendor contracts within prompt turnaround times.
Manage priorities across departments to timely close customer, vendor, and other agreements.
Maintain customer contract playbook and other contracts templates and playbooks, and integrate into contracts lifecycle management system.
Formulate practical and creative ideas to solve negotiation and progress impediments.
Identify and mitigate risks associated with contract terms.
Maintain and standardize all terms and conditions that the company uses.
Work with business colleagues to achieve optimal terms for Advanced Energy with minimal supervision.
Provide advice to internal stakeholders on contract-related matters, including potential disputes, regulatory compliance, and risk assessment.
Develop and deliver training programs for internal teams on contract terms and conditions and contracts process.
Stay up to date with changes in contracts law (including UCC) and assess company’s purchase orders process.
Perform integration and remediation of acquired companies’ contracts.
Continuously improve workflows, deal processes, and contract executions to drive operational efficiency.
Bring structure, uniformity, and efficiency to the legal department’s commercial work.
Provide other legal team support in particular support restructuring and reorganizing global legal entities.
Perform other duties as may be assigned.
WORK ENVIRONMENT:
Location: Denver or Fort Collins, CO
Environment: Standard office environment, onsite with some flexibility
Must be able to travel minimally as required
QUALIFICATIONS :
Demonstrated ability to effectively prioritize and advance promptly multiple contracts happening simultaneously, often on tight deadlines.
Strong written and verbal communication skills and are adept at working with cross-functional colleagues.
Capable of making smart decisions in the face of ambiguity and imperfect information.
An effective, positive negotiator who can develop creative solutions to navigate complex legal issues to both protect Advanced Energy Industries and drive our business forward
EXPERIENCE:
5+ years of experience drafting and negotiating a wide range of commercial contracts, with strong attention to detail. A combination of law firm and in-house experience preferred.
3+ years project management experience
EDUCATION:
- JD degree and member in good standing of a US state bar, preferably Colorado.
COMPENSATION:
As required by multiple state pay transparency laws, Advanced Energy provides a reasonable range of compensation for each job posting. Actual compensation is influenced by an array of factors including, but not limited to, skill set, level of experience, and specific office location. The range of starting pay for this role is $140,000 to $180,000 per year.
