Overview

Summary:

Strata Clean Energy, as a national developer, contractor, owner and operator of solar energy and energy storage projects, provides its attorneys with a multi-disciplinary law practice. Strata’s attorneys serve as key members of the legal department and assist the General Counsel and other members of Strata’s executive team in executing overall strategic objectives from both legal and business perspectives. Reporting to the Deputy General Counsel, this position will work closely with personnel in all of Strata’s departments, in particular the engineering, procurement and construction (EPC) and operations and maintenance (O&M) teams.

Responsibilities

Essential Duties and Responsibilities:

  • Directly assist, as well as manage internal and external legal resources to assist, Strata’s solar and energy storage project EPC teams in all matters and phases relating to Strata’s EPC efforts.

  • Independently draft, review and negotiate prime EPC agreements where Strata is the prime contractor, as well as EPC agreements with third party EPC contractors where a Strata subsidiary/affiliate is the project Owner.

  • Independently draft, evaluate, negotiate and finalize master subcontract agreements for civil, mechanical, electrical and commissioning scopes of work, and battery energy supply agreements.

  • Assist the EPC team in permitting processes.

  • Support Strata’s procurement, supply chain and logistics teams in the sourcing and delivery of key construction and other components and equipment, including the drafting and negotiation of master supply agreements and master services agreements.

  • Support Strata’s O&M team in negotiating service agreements with new and existing customers.

  • Manage and counsel applicable commercial teams with respect to litigation and dispute resolution, including managing external legal resources.

  • Provide general corporate and commercial support, including, as needed, including supporting Strata’s development and asset management teams.

  • In performing the foregoing tasks and duties, identify, manage and advise business clients and executive management on the allocation and mitigation of critical risks.

  • Effectively manage external legal resources.

  • Review, negotiate and finalize software license agreements and license content agreements, nondisclosure agreements, consulting services agreements and engineering master services agreements.

  • Identify, manage and advise business clients and executive management on risk allocation and mitigation.

  • Contribute to creating, developing and implementing processes, document templates, procedures, best practices, systems and controls within the legal department and more broadly, and recommend improvements thereto.

  • Stay abreast of current events and developments affecting the renewable energy industry, with particular emphasis on possible impacts to Strata’s business, and help evaluate opportunities and issues relating thereto.

  • Bring a positive, energetic, “can-do,” problem-solver attitude to the workplace.

  • Close collaboration with external counsel is essential to this position and the successful candidate will be working alongside, and not merely managing or “outsourcing” legal functions to external counsel. The successful candidate is expected to understand the core issues, negotiation points, contracts and risks so as to direct external counsel in a manner intended to achieve Strata’s desired outcomes.

Qualifications

Education and/or Work Experience Requirements:

  • JD from an accredited law school.

  • Current license to practice law in a U.S. state.

  • Minimum of 5 years of relevant experience.

  • Strong interest in renewable energy; prior experience preferred but not required.

  • Possess effective drafting, negotiating and client communication skills to: (a) identify complex legal issues, (b) develop and implement alternative solutions, (c) negotiate independently and (d) cope with fast-paced and ever-changing relationships.

  • Problem-solver with pragmatic approach to satisfactorily address legal issues in relation to contractual objectives.

  • Possess effective time management, project management, dispute resolution and interpersonal skills.

  • Creative, adaptable and independent thinker.

  • Strong team player.

  • Ability to focus, direct and manage the efforts of external legal and other resources.

  • Quality and execution focused.

  • Possess strong leadership qualities to motivate colleagues and clients to drive initiatives to conclusion rapidly and efficiently.
