The Paralegal to support multiple attorneys on the US-based Legal Team and reviews and finalizes standard agreements, such as NDAs, Beta Agreements and other standard templates, and prepares a wide variety of documents under supervision in areas related to Sales, M&A, employment, and corporate records, and includes other performs other tasks such as contract administration, legal research, and document management

What you will be doing:

Commercial Matters:

  • Fully support the Terms & Conditions process for contracts in support of the business to include the approval process to ensure compliance with company policies.

  • Facilitate the sales process by attending meetings, performing preliminary reviews and coordinating information for agreements including validation of compliance with company policies

  • Negotiate contract terms with clients/customers and maintain documentation of changes. To include identification of contractual issues and takes appropriate action to ensure a satisfactory resolution. Coordinate contract interpretation, implementation, and communication, both internally and externally.

  • Create and distribute reports showing status of contract activity for the team through management and maintenance of the Work In Progress.

HR and Employee Matters

  • Draft documentation included but limited to: employment contracts, offer letters, restrictive agreements, NDAs and separation agreements.

  • Assist in factual investigation, i.e., obtain documents from various sources within the company, trace witnesses, pursue relevant facts.

  • Prepare case outlines and timelines.

  • Support HR response to requests for employee information and subpoenas.

  • Research and develop materials for employment policies.

  • Respond to requests for information.

Litigation/Claims/Investigative Matters:

  • Calendar and monitor time-sensitive deadlines for claims, litigation, and other legal proceedings.

  • Compile, review, and organize evidence and other information. This may include performing investigation, organization, research, and background work needed for claims, and lawsuits from inception through discovery and trial, or to support the due diligence process in M&A activity.

  • May provide support in litigation such as document production and serve as liaison to outside attorneys.

  • Provide support in responding to subpoena requests.

Must have for this role:

  • Minimum of 5 years of U.S. experience in business, commercial, corporate or contract negotiating, with a focus on sales of goods T&Cs, commercial contracts and HR and employment matter.

  • Knowledge of general commercial terms in agreements for the sale of goods.

Nice to have:

  • Certified Paralegal (CP) credential from N.A.L.A. or equivalent program.

  • Mastery of general commercial terms in agreements for the sale of goods.

  • 3+ years’ experience in working in-house legal team to include supporting Sales Functions, Human Resources and employment matters.

Travel required: 10%
