General Function

Draft, review, and manage contracts and legal documents, with a focus on vendor agreements and business transactions. Provide comprehensive paralegal support to the legal department in a retail franchise environment.

Essential Responsibilities

Contract Management

Draft, review, and revise contracts, including vendor agreements, service contracts, and non-disclosure agreements

Maintain and update contract records in a centralized database.

Monitor contract expiration and renewal dates, initiating the renewal process as needed.

Interpret contractual requirements and communicate updates to internal stakeholders.

Coordinate legal proceedings and contracts with outside counsel

GSA (General Services Administration) Management

Acts as main contact point for vendors, franchisees, and military; coordinates and supports the network of approved contracted vendors.

Provides all applicable GSA solicitation documents to participating franchisee owners.

Solicits letters of commitment from suppliers.

Legal Research and Documentation

Conduct legal research on statutes, regulations, and judicial decisions relevant to commercial law and franchise operations

Support product compliance requirements

Prepare legal memoranda, briefs, and other legal documents as directed by attorneys.

Assist in the development and maintenance of the company's legal document templates.

Vendor Relations Support

Collaborate with the Merchandising Team to support negotiations with domestic and international vendors

Assist in the collection and maintenance of vendor compliance documents, including Certificates of Liability Insurance and UN Test Summaries

Support the special purchasing approval process for non-standard vendor agreements.

Regulatory Compliance

Assist in ensuring company compliance with relevant laws and regulations in the retail and franchise sectors.

Help maintain the company's legal policies and procedures documentation.

Support the legal team in responding to regulatory inquiries and audits.

Litigation Support

Assist in the management of product liability claims and other legal disputes.

Organize and maintain case files and evidence for potential litigation.

Prepare drafts of pleadings, motions, and other court documents under attorney supervision.

Qualifications

Associate's degree in Paralegal Studies required; Bachelor's degree preferred.

Paralegal certificate from an ABA-approved program.

3 or more years of paralegal experience, preferably in commercial law or franchise operations.

Strong knowledge of contract law and commercial transactions.

Excellent analytical and legal research skills.

Proficiency in contract management software.

Strong organizational/negotiation skills and attention to detail.

Ability to work with confidential information and maintain discretion.
