Job Summary

The Counsel, Regulatory Affairs is responsible for providing legal opinions on matters related to the regulatory, safety and economic frameworks applicable to CN in the United States (U.S.). The role requires judgment, autonomy, flexibility, and leadership as the incumbent contributes the Organization’s strategy before various regulatory and judicial authorities. Moreover, the position supports all CN functions on any regulatory matters raised.

Main Responsibilities

Legal Regulatory Opinions

· Provide legal opinions respecting the Interstate Commerce Act, the Interstate Commerce Commission (ICC) Termination Act, the Surface Transportation Board (STB) Reauthorization Act, and all other statutes applicable to CN activities

· Provide legal opinions regarding proposed tariff or contractual provisions to validate consistency with the regulatory framework

Advocacy

· Prepare various filings with all regulatory agencies in support of CN’s position

· Give instruction to outside counsel acting on behalf of the company in outside courts and before federal agencies

· Engage with government officials having a direct influence on the orders to be issued to CN

· Attend meetings or hearings to provide instructions to outside counsel, dealing with matters affecting the Organization’s interests

· Facilitate relationship building across CN and manage the internal and external network

Cross-functional Counsel

· Adopt a proactive cross-functional approach in the provision of legal opinion, including supporting CN’s strategic initiatives

· Collaborate with CN functions and externally to solve problems creatively

· Provide counsel to all functions at CN when the question raised involves the regulatory framework and work with them in planning and implementing strategy

· Support CN functions in change management, including regulatory initiatives

Working Conditions

The role has standard working conditions in an office environment with a regular workweek from Monday to Friday. The role requires being available on-call as needed to respond to critical incidences. Due to the nature of the role, the incumbent must be able to meet tight deadlines, handle pressure, and stress. The role requires occasional travel (up to 40%) within the U.S.

Requirements

Experience

Regulatory Affairs

· Between 5 to 10 years of experience with a federally regulated activity

o Demonstrated experience in a fast-paced environment with a strong ability for prioritization and the capacity to adapt to various working models and cultures

o Experience in the transportation or railroad industry or federal agency regulating railroads*

*Any experience for these above would be considered as an asset

Education/Certification/Designation

· Bachelor’s Degree or Juris Doctor (JD)

· Member of good standing admitted in Washington, DC or Illinois

· Clerkship with a federal judge*

Technical Skills/Knowledge

· Knowledge of Microsoft Office (Outlook, Word, Excel, PowerPoint)

· Extensive knowledge of federal statutes that may apply to CN activities, including the Interstate Commerce Act, the ICC Termination Act, STB Reauthorization Act, and the Federal Rail Safety Act

· Ability to learn and understand railway operation and activities concerning the regulatory framework
