Job Overview:

Chief Counsel is a US-based lawyer in Houston (Texas) serving as SAF’s lead lawyer in Mexico with additional roles and responsibilities throughout the Americas, both as a transactional attorney and business-focused lawyer for SAF as part of Legal team within global Sustainability & Governance group. The SAF business focus is on pipelay and field development services utilizing McDermott’s fleet of 12 specialty marine construction vessels, covering the range of shallow water to ultra-deepwater.

Key Tasks and Responsibilities:

  • Serve as a legal leader, providing day-to-day counsel, recommendations, and advice to members of the Subsea and Floating Facilities Business Line.

  • Draft, review, and negotiate project contracts with customers in multiple jurisdictions for McDermott’s SAF Business Line (which includes reviewing contract terms and conditions, pricing/payment schedules, scope of work, project procedures and execution schedules on lump sum, unit rate and reimbursable contract models) for projects ranging from several million to several billion dollars in value.

  • Represent McDermott and the S&G function as a leader of people and culture.

  • Provide legal guidance and project management support throughout contract lifecycle.

  • Review and negotiate agreement documents to support McDermott’s business and growth objectives, including MOUs, Consortium, Joint Venture, Partnership, and NDAs.

  • Support project execution in varying jurisdictions and work with and understand foreign governing law.

  • Advise on and review financial instruments (e.g., letters of credit, bank guarantees) and project finance documentation as relevant to projects.

  • Participate in management reviews and advise internal clients on strategy, risk management, and positions.

  • Prepare and support negotiation and implementation of subcontracts and purchase orders.

  • Handle pre-litigation claims and negotiate claims raised by customers, vendors, and subcontractors.

  • Identify and advise on compliance and anti-corruption matters; liaise with internal Ethics & Compliance team

  • Plan and execute training to various groups, including Supply Chain and Contracts professionals.

  • Collaborate with S&G team to achieve an open and inclusive culture and to identify and implement process improvements.

  • Assist with flowing down prime contract requirements into vendor subcontracts, purchase orders or existing MSAs.

  • Draft, negotiate and approve final positions with vendors in purchase orders and subcontracts.

  • Participate in industry groups to provide advice, guidance and principles and influence legislation related to Subsea and Floating Facilities Business Line.

Essential Qualifications and Education:

  • J.D. from reputed law school.

  • Licensed to practice law in the United States (Texas or Louisiana, preferred).

  • 7+ years of broad legal experience, preferably in the energy or construction industry, with experience in management, contract drafting; negotiation and contract management.

  • Fluent in Spanish, including legal Spanish (comfortable negotiating agreements in Spanish).

  • Comfortable working in a matrix organization.

  • Comfortable with complexity and ambiguity.

  • Able to liaise with and support executive leadership and McDermott’s Board of Directors.

  • Knowledge and familiarity working in US and Mexico (preferably South America too).

  • Proven experience successfully leading a team for large, international corporations.

  • Excellent knowledge and understanding of contract law and practices.

  • Strong skill in writing, and negotiation,

  • Strong communication and presentation skills.

  • High degree of professional ethics and integrity, sound judgment, and ability to analyze situations and information
