POSITION PURPOSE (Remote Work Eligible)

As a leader of high visibility and high impact work within the Strategy, Growth and Development team, the Manager plays an important role in advancement of Trinity Health’s organizational growth and diversification strategy. This position assists the Directors, VPs and SVP as a strategic resource for the development and implementation of strategic plans, provides leadership in negotiations, valuations, assessments and other activities required to close major Trinity Health transactions such as acquisitions, divestitures, joint ventures, joint operating companies, management agreements and other new venture development opportunities. This strategic and transaction support covers acute and non-acute/diversified opportunities across the continuum of care (health plans, physician groups, ambulatory), post-acute service providers and non-traditional health care partners.

ESSENTIAL FUNCTIONS

  • Knows, understands, incorporates and demonstrates the mission, vision and values of Trinity Health in behaviors, practices and decisions.

  • Performs proactive industry and organization specific market research and analyses of competitor and potential target organizations. Completes on-going assessments of health care business and environmental trends that may provide new development opportunities to the System, regional and/or local levels.

  • Supports the development of System and HM strategic plans. Develops updates and applies criteria to determine the strategic value and fit of potential transaction partners in partnership with senior leadership.

  • Acts as a resource to System and HM senior leadership and strategy, planning, and business development leadership on specific transactions and partners with various functional areas to develop explanatory, analytical and financial information for various transactions to share with multiple constituencies (e.g., sponsoring organizations, Trinity Health Board of Directors, Executive & Governance and Stewardship committees, bond rating agencies, government agencies, etc.)

  • Continually learns and applies key healthcare ecosystem dynamics (e.g., payer, regulatory, political, consumer, physician group, employer, etc.) for multiple markets across the country, including markets we are in or may enter.

  • Effectively communicates progress and activities to appropriate parties on an ongoing basis and leverages the knowledge and expertise of experts within and outside Trinity Health.

  • Participates directly in negotiation sessions with external stakeholders. Acts as project manager on certain transactions. Depending on transaction, may lead, direct or support transaction oversight team. Provides analytical and tactical direction and support to mergers, acquisitions, joint ventures, other partnerships, and divestitures including the Request for Proposal (RFP) process, negotiations, due diligence and integration activities.

  • Leads and completes work for Hart-Scott-Rodino pre-merger filings, working in partnership with HMs, System Office finance and legal to update filing information including but not limited to financials, master addresses list, joint venture ownerships and recent transactions. Records reasoning and references to changes. Coordinates with various departments and HMs across the ministry to verify, edit and update the information.

  • Leads Request for Proposal responses through the entire transaction process. Facilitates opportunity and develops strategy and vision in partnership with HM (if applicable when opportunity is in or near an HM market) to present to Executive Leadership Team and outside organization. Project manages to meet deliverables and timelines.

  • Drafts and finalizes Indication of Interest, term sheets or Letter of Intents in partnership with legal and HM partners for transactions.

  • Creates business plan(s) for any emerging strategic imperatives and engages HM leaders and subject matter experts to understand current state. Utilizes research to determine future state operations. Assesses and compares HM market opportunity, competitiveness and readiness through data-driven processes and prioritize markets if initiative is systemwide. Implements plans and reviews capital requests as part of Capital Management Council's work and any subsequently related transaction plans.

  • Manages or assists in due diligence processes through execution of transactions, termination of discussions, divestiture or closing and facilitates the transition of divested or acquired entities and coordinates communications between multiple parties within and outside of Trinity to answer questions, access and share appropriate information, gather and synthesize attestations and due diligence findings, compile due diligence report and support facilitation and logistics coordination of due diligence report out to Trinity executives.

  • Supports and/or coordinates investigating prospective owner’s (e.g., if divestiture) or target organization’s (e.g., if acquisition) background, history, management, employees and culture, quality of earnings, mission/advocacy focus, market share, assets and cash flows, integrity of financial information, and coordinating with other Trinity Health System Office functions to review/evaluate employee benefit issues, tax exposures, other liabilities and information systems. Creates due diligence attestation packets, facilitates and leads due diligence process report out. Identify, track and follow up on open items remaining throughout the due diligence process until transaction is closed.

  • Establishes and manages Data Room. Requests, cleans, formats, synthesizes and organizes multiple data files from various functional areas within Trinity to support due diligence data requests and processes. Manages the data room platform, including access permissions and folder structure and organization. Manages and improves pipeline tracking management tool.

  • Develops and manages work plans, transition plans and implementation plans for transactions. Directs and supports the information exchange and selected negotiations, coordination of required follow-up activities, and planning for transition and implementation efforts related to transactions. Helps to coordinate multi-functional work teams with members from Operations, Mission, Physician/Clinical Services, Legal, Finance, TIS, Compliance, Insurance, and other functional areas as well as external consultants, as needed, in the exploratory and transition phases.

  • Organizes, coordinates, communicates, and assures the quality of the competitive data, market data, survey data, and related analysis function provided by strategic planning, finance, or other departments as needed.

  • Oversees presentation preparation support (PowerPoint Skills, Excel, Teams etc.). Synthesizes and communicates complex information into easy to read and follow spreadsheets, presentations, and other documents to support negotiations, transaction process, and executive and governance reviews of transactions. Produces communication and presentation materials for negotiation sessions. Oversees meeting scheduling and logistics across various parties (mainly with outside of Trinity parties).

  • Maintains the confidentiality of information acquired pertaining to patient, physicians, employees, and visitors to Trinity Michigan. Discusses patient and hospital information only among appropriate personnel in appropriately private places.

  • Assumes responsibility for performance of job duties in the safest possible manner, to assure personal safety and that of coworkers, and to report all preventable hazards and unsafe practices immediately to management.

  • Maintains a working knowledge of applicable Federal, State and local laws/regulations; the Trinity Health Integrity and Compliance Program and Code of Conduct; as well as other policies and procedures in order to ensure adherence in a manner that reflects honest, ethical and professional behavior.

Hourly Pay Range: $56.4479 - $93.6785

MINIMUM QUALIFICATIONS

  • Must possess a broad and deep knowledge of healthcare industry trends, strategies, economics and governance elements and interdependencies as normally obtained through completion of a bachelor’s degree in Business, Healthcare Administration or a related field. Five (5) to seven (7) years of experience in strategy, transactional management (mergers and acquisitions), health systems, payer, management consulting, valuation firm, investment banking, private equity, venture capital in a team or project management capacity; or a comparable combination of education and experience.

  • Superior strategic thinking, problem solving, analytical and business acumen skills. Demonstrated ability to draft business and financial plans as well as senior leadership and governance presentations. Ability to think strategically, analytically and tactically about divestitures, mergers, acquisitions, joint ventures, other partnerships, and divestitures, including impact on business, long-term ramifications, etc.

  • Ability to effectively organize and manage multiple projects and prioritize appropriately to produce results. Demonstrated success as a project manager.

  • Excellent written and verbal communication skills, including the ability to communicate effectively with a broad spectrum of business executives and other key stakeholders. Strong presentation & negotiating skills. Experience presenting to board and C-suite executives.

  • Demonstrated success in developing market intelligence, market share and environmental trends reports. Experience developing strategic plans preferred.

  • Expert in MS Office (Excel, PowerPoint, and Word).

  • Must be a motivated, goal-oriented self-starter that takes initiative to ask questions and escalate items where additional support or education is needed to achieve the work.

  • Demonstrated ability to gain and maintain credibility and trust with key stakeholders.

  • Exceptional interpersonal and relationship management skills in order to influence results and manage relationships and influences within and outside the organization. Ability to read the subtle nuances of situations and plan/react accordingly.

  • Demonstrated experience and success in working collaboratively with senior management to achieve goals.

  • Comfortable with a fast paced, demanding, and team-oriented environment with the ability assist and support others as needed to balance various simultaneous team initiatives.

  • Must be able to operate effectively in a collaborative, shared leadership environment.

PHYSICAL AND MENTAL REQUIREMENTS AND WORKING CONDITIONS

  • Must be able to simultaneously manage multiple priorities and balance the needs and expectations at both the System and at the Health Service Area level.

  • Must be willing & able to travel to the various Trinity Health sites and to various partnership development opportunity sites throughout the country approximately 20% of time.
