Robert Half Paralegal in Mclean, Virginia
Description We are on the hunt for a proficient Paralegal in McLean, Virginia, United States. In this role, you'll be combining your knowledge of corporate governance, commercial real estate, and commercial contracts. You will be tasked with handling a variety of responsibilities from contract review to corporate entity management, all while maintaining a hybrid work model with 2/3 days working from home.
Responsibilities:
• Oversee the management of corporate entities, including managing third-party vendors, filing annual reports, handling foreign qualifications, processing director and officer changes, and managing formations, dissolutions, certificates, and resolutions.
• Collaborate with various departments within the company to gather and provide relevant information.
• Assist in real estate transactions by partnering with business analysts, preparing and filing certificates, consents, lease documents, updating forms, and reporting.
• Draft and review a range of real estate-related documents and trackers, including easements, title and survey due diligence reports, title memos, and objection letters.
• Maintain securitization spreadsheets summarizing property and lease details.
• Analyze, file, and distribute various notices to relevant stakeholders.
• Ensure corporate records are well-organized and accessible through rigorous quality control processes.
• Conduct UCC, lien, and other searches as required.
• Assist with deal closings and post-closing tasks, including maintaining detailed deal checklists.
• Maintain effective relationships with outside counsel, securitization trustees, and financing administrative agents for compliance and other matters.
• Provide support to the General Counsel with daily activities and special projects as needed. Requirements • Possession of a minimum of 2 years of experience working as a Paralegal
• Proficiency in Entity Formation
• Demonstrated experience in Corporate Governance
• Skilled in handling Commercial Real Estate matters
• Experience in drafting and reviewing Commercial Contracts
