The RoleThe successful candidate is a business savvy commercial lawyer who wants to make an impact by helping structure and document commercial transactions with the leading industrial companies of the world. You will work cross-functionally with other departments to create and negotiate contracts with our customers located in North and Latin America. You will be part of a global in-house legal staff and can choose to be located at either our Bedford, MA, Houston, TX or Medina, MN offices. Our work is fast-paced, and your time management skills are essential, but you will enjoy thoughtful collaboration with colleagues who are changing the world. Your Impact Support the growth and velocity of the company's revenue stream from commercial software licenses and related professional services engagements, with a primary focus on customers in North and Latin America. Provide comprehensive legal guidance and representation to the business in commercial transactions, including tender documents, software licensing and sell-through, implementation and subcontractor services, third-party integrations, vendor and procurement, logistics, consulting, and data privacy and cybersecurity requirements. Collaborate with internal teams, including finance, project delivery, business development, and security to ensure legal compliance and mitigate risks associated with commercial transactions and compliance with data privacy and cybersecurity requirements. Support our customers' success by creatively designing and negotiating clear contractual solutions that meet customer requirements while also minimizing company risks and contributing to the key business measures we utilize to track and assess the performance of our business. Familiarity with U.S. economic sanctions, export control laws and regulations, and global trade laws. Execute projects in other practice areas as needed such as IP, AI, data privacy, and cybersecurity. Experience drafting, analyzing and negotiating complex contracts and tender documents, preferably software license agreements. Familiarity with Intellectual Property laws preferred. What You'll Need J.D. from an accredited law school. 5+ years' experience in sophisticated legal environment(s); Software technology company experience preferred. A Bachelor's degree in software development, chemical engineering or experience with industrial software products preferred. Member in good standing of a state bar association.
