Morgan Stanley M&A Operations / Administration Professional - New York in New York, New York
The Mergers & Acquisitions Department (M&A) is responsible for structuring and executing a wide range of complex domestic and cross-border transactions including acquisitions, divestitures, mergers, spin-offs, joint-ventures, asset swaps and defenses against unsolicited takeover attempts. The group works in close partnership with the firm’s industry coverage groups across sectors.
Role & Responsibilities of the M&A Operations / Administration Professional
Review new advisory and financing mandates proposed by Investment Banking Division (IBD) and Global Capital Markets (GCM) professionals globally to identify potential conflicts
Form appropriate strategies to navigate actual/potential conflicts and execute on those resolution plans through direct coordination with IBD and GCM professionals, IBD Management, internal legal counsel and the Global Conflicts Office (GCO)
Prepare conflict disclosure memoranda to be issued to clients related to certain M&A mandates
Administration and monitoring of information barriers among IBD and GCM deal teams
Assist with creation and development of reference and marketing materials and assist with other critical administrative functions
Assist with critical engagement documentation retention for IBD advisory mandates
Assist with invoice reviews and other related billing functions for IBD advisory mandates
Role reports directly to the Americas Assignments Associate, a Senior Associate in the Mergers & Acquisitions department
Bachelor’s Degree or equivalent required - preferably in law, finance, accounting or business
Preferred work experience of at least 2 years in the financial services industry
Ability to interact with senior decision makers, excellent presentation and relationship management skills
Adept at working in a fast-paced, dynamic environment
Strong analytical skills and attention to detail
Ability to work as a team player, as well as independently
/Expected base pay rates for the role will be between $85,000 and $140,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs./
