SEMCO - Associate Legal Counsel

Overview :

The Associate Legal Counsel will report to the Associate General Counsel, Commercial Transactions, Washington Gas Light Company, and will be responsible for providing general commercial legal support and guidance to SEMCO Energy, Inc. (“SEMCO”). The successful candidate will have a deep understanding of a wide range of commercial transactions (such as master service agreements; engineering, procurement, and construction agreements; software licensing agreements; as well as leases and easements) and experience assessing overall legal risk in the utilities business and effectively communicating on risk matters with management.

Responsibilities:

  • Provide legal advice and services to business leaders at SEMCO and, in engagement with the Associate General Counsel, Commercial Transactions, business leaders at Washington Gas Light Company and other affiliated entities.

  • Actively engage with internal clients from multiple business units and departments, customers, vendors, and other third parties; provide practical, solution-oriented counseling and support in accordance with SEMCO’s policies.

  • Spot legal risks and issues as they may develop; provide effective support to SEMCO on general legal matters and litigation.

  • Protect SEMCO’s rights in contract negotiations through the drafting and review of contracts and filings.

  • Advise department and senior leadership on legal matters related to the general commercial functioning of SEMCO (procurement, real estate, natural gas transactions, IT, engineering and construction).

  • Ensure compliance, and remain up to date with, industry-specific laws and regulations.

  • Proactively advise on potential or emerging business risks faced by the company.

  • Advise on legal strategy for assigned cases.

  • Manage the selection, engagement, and ongoing relationships with outside counsel.

  • Manage the Legal budget.

  • Serve as a resource for the corporate Legal function as assigned.

Qualifications, Skills and Abilities:

  • Juris Doctorate required.

  • 5+ years of progressive legal experience with a mid- to large-size corporation or law firm required.

  • Membership in good standing of the Michigan state bar required.

  • Demonstrated knowledge of several legal disciplines and the practices and procedures required to solve work initiatives in a legal environment.

  • Proven ability to successfully negotiate business agreements and to resolve disputes with business partners.

  • Demonstrated ability to conceptualize and analyze multiple scenarios in solving broadly defined or complex business problems.

  • Demonstrated ability to present complex ideas logically and concisely to diverse audiences at all organizational levels both verbally and in writing.

  • Proven ability to use computer software and applications, including Microsoft Office, to share, retrieve, research and present business and legal information.

  • Demonstrated ability to establish rapport and effective working relationships with business partners, supervisors, and peers.

We offer a competitive salary range of $103,500 to $130,000 per year, commensurate with experience, education, and skills. In addition, we provide a comprehensive benefits package including health insurance, retirement plans, and paid time off.
