Summary
Spire is seeking a Director, Associate General Counsel, Corporate Governance and Securities to join our Legal team. This position will be available at the corporate headquarters in St. Louis, MO, reporting to the Vice President, Chief Administrative Officer & Corporate Secretary.
This position will be responsible for serving as Assistant Corporate Secretary and will provide daily support to the Corporate Secretary. This position will also serve as lead counsel to the corporate finance organization, which includes controllership and external reporting, treasury and capital markets, investor relations, and tax. This position is the lead attorney for the purposes of ensuring compliance with securities laws and related corporate governance issues, with significant interactions with members of the Board of Directors, executives and other key decision-makers across the company. The ideal candidate will have broad-based experience with sophisticated legal issues in a business setting coupled with experience working in a law firm, with an emphasis on corporate and securities matters under federal securities laws, corporate governance issues, and general corporate finance and capital markets matters. The ideal candidate will also be open to learning new areas of law, such as ERISA and/or labor and employment.
Duties and Responsibilities
Support the Company Secretary with the preparation of materials for the Board of Directors, Board Meetings, governance documents and Committee Meetings, including agendas, board books, minute books, corporate resolutions, charters, questionnaires, evaluations, board compensation payments and awards and other areas as necessary.
Plan and implement the successful execution of the annual proxy statement process, in support and coordination with Human Resources, including building a timeline, project management, monitoring trends (including ISS, GL and key investor voting guidelines) and disclosures.
Support the Company Secretary with the onboarding of new officers and directors, including providing Section 16 guidance and support of equity plan administration in connection with Section 16 filings.
Plan and execute activities in compliance with NYSE governance and filing requirements (including in connection with annual and interim affirmations, dividends and other notices).
Essential Characteristics and Competencies
Supervisory Responsibilities
- 1 direct report
Required Education (certifications, licenses)
Juris Doctor and active bar license in good standing in at least one state.
Required knowledge, skill and abilities
8 years of experience of relevant experience in securities law or corporate governance, with a preference for both law firm and in-house legal experience.
Strong knowledge of SEC regulations (including the Securities Act of 1933, Securities Exchange Act of 1934, and Sarbanes-Oxley Act), corporate governance principles, and best practices.
Proven track record of successfully managing SEC filings, corporate transactions, and advising on complex securities matters.
Experience with capital and credit markets and financing agreements and familiarity with financial statements, accounting, and tax matters.
Self-motivated, flexible, and efficient working style with the ability to manage complex projects with competing priorities in a fast-paced environment.
Strategic thinking and strong business acumen.
Quality-oriented with a focus on detail and the ability to identify and resolve issues independently.
Excellent communication and interpersonal skills with the ability to translate legal issues into identifiable and understandable business risks.
Experience interacting with members at all levels of an organization, including executive officers and Board members.
Experience with and interest in learning new areas of law.
Physical demands, environment and schedule
Flexible work is allowed (not fully remote)
The work is sometimes performed in a moderately noisy open-plan business office.
Typically working normal business hours
Some evenings and weekends as needed
Travel to other subsidiary locations, including Kansas City, MO, Birmingham, AL, Mobile, AL, Houston, TX, and Evanston, WY, may be required occasionally
