General Description:

The purpose of this position is to oversee and be responsible for various aspects of insurance risk management, contract administration, corporate governance and legal entity management. Position may prepare, review and analyze internal and external documents, reports, records and processes in assisting internal counsel.

Principle Responsibilities:

Insurance Risk Management – Develop, manage and implement the organization’s insurance program. Lead the annual policy renewal process, including various commercial, employment and environmental policies. Communicate risk policies and processes for the organization and business units. Serve as primary liaison to the company’s insurance broker and carrier and between the company’s business units for insurance claims. Develop strategies to decrease the company’s total cost of risk, including but not limited to options for mitigating, avoiding or transferring risk.

Contract Management– Analyze significant and/or unique contract requirements and special terms and conditions to ensure compliance with appropriate laws, regulations and company policies and business unit procedure. Prepare and review routine agreements and contract documents, including distribution and supply agreements, master services agreements and statements of work. Develop and update a playbook of standard contractual provisions. Manage and maintain contracts and other records filed in the department’s Document Management System (DMS). Assist in managing, communicating and enforcing the company’s Record Retention Policy.

Corporate Governance and Legal Entity Management – Assist the company’s Secretary, Assistant Secretary and Strategic Leadership Team with board and committee meeting preparation by coordinating, preparing and distributing resolutions, minutes and exhibits. Support the maintenance of corporate entity compliance including jurisdictional qualifications to do business and withdrawals, and annual reporting management. Update and maintain a corporate entity management database. Liaise with external service providers in different jurisdictions to ensure compliance with local laws and regulations. Maintain and systematically file corporate governance information, including LLC agreements, agendas, minutes and resolutions, presentations, board and officer changes, powers of attorney and delegations of authority. Create presentations and documents, including corporate organizational charts. Work with other members of the department on special projects and initiatives.

Educational / Experience:

  • BA/BS required or associate degree with related work experience

  • Certified Risk Manager designation or the equivalent preferred

  • Minimum of five years of commercial claim, underwriting and/or paralegal experience focusing on corporate governance at an in-house legal department or law firm

  • Paralegal degree or certificate and/or notary qualification is a plus

  • Accustomed to working discreetly and securely with confidential and sensitive information

  • Superior project management and organizational skills, with a focus on continuous process improvement

  • Ability to work independently as well as in a team environment

  • Strong working knowledge and familiarity with Microsoft Office Suite (e.g., Outlook, Word, Excel, PowerPoint, SharePoint, Teams), and document management and electronic signature solutions such as iManage and DocuSign

  • Physical Demands include constant sitting, walking, standing, simple grasping and fine manipulation with hands; frequent bending at the neck and waist; and occasional squatting, climbing, kneeling, crawling, twisting at the neck and waist, power grasping, pushing, and pulling with hands, reaching above shoulder level, lifting and carrying up to 25 lbs.

  • Work Environment includes exposure to or working in or around equipment and machinery, including a computer keyboard and mouse.

  • It may require occasional travel.

  • Frequency Definitions: Constant = Over 40% / Frequent = Up to 40% / Occasional = Up to 10%
