The Associate Corporate Counsel role will provide legal advice and guidance to global business teams on a variety of issues to achieve business goals and objectives, protect Promethean's interests, and ensure compliance with applicable law and regulatory changes. Activities include drafting company policies, preparing and reviewing commercial agreements that minimize risk, providing training, advice, and guidance to marketing, HR, finance, operations, sales, and technology on a wide range of business and legal issues. Responsibilities: Engage with Promethean's technical team members, products and technical resources to understand the Company's hardware and software products in order to provide sound, legal, commercial and practical advice as well as to support company's intellectual property endeavors Create associations of trust and respect with key stakeholders in order to interact with and support all organizations across the company, with a primary focus on drafting, reviewing, negotiating, and providing guidance and advice on a broad range of matters and contracts, including but not limited to: reseller and distribution agreements; vendor/supplier/service provider agreements; HR agreements; marketing campaigns and contests as well as trade show agreements; data processing agreements; privacy policies as well as terms of service for our various websites and platforms; end user license agreements for various software products; nondisclosure agreements; shipping, transportation, warehousing and other logistics agreements; finance agreements; real estate leases; and IP license agreements Develop strategies for handling legal issues in creative, business-centric ways, and help build processes that address risk and allow the business to innovate Provide legal advice and guidance on corporate governance matters Manage IP portfolio Work with and provide support to external legal counsel when necessary As needed, provide legal advice and guidance on disputes or matters in litigation Requirements: 2+ years of legal experience Juris Doctor and membership in one state bar or equivalent A willingness to "roll up your sleeves" take ownership of matters, and to work effectively in a fast-paced environment with smart and creative people Ability to take a pragmatic business-oriented approach to problem solving in order to achieve business goals and objectives Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines Ability to identify risks across the business and advise management on risks and strategies for risk mitigation Experience in a law firm or in-house experience at a techno
