Quest Diagnostics Inc Manager, Tax Planning (Hybrid) in Secaucus, New Jersey

Member of the corporate tax function reporting directly to the Senior Director, Senior Tax Counsel. This role is part of a critical function that drives growth through planning and partnering with the business development group. The position will be responsible for all aspects of global tax planning, including effective collaboration with the tax accounting and compliance teams to ensure tax accounting and reporting aspects are properly considered. Responsible for managing due diligence and restructuring for M&A transactions.


  • Reports to Senior Tax Counsel and interacts and partners with business development, treasury, accounting, finance, business and legal functions to identify, research and implement tax planning opportunities, manage tax risk, and support corporate wide initiatives and transactions
  • Manage due diligence required for various M&A activity. Develop and implement integration and post-acquisition structures to optimize tax savings
  • Manage restructuring and tax planning related to US and international operations in furtherance of company objectives and to achieve effective tax rate goals, including tax credit projects
  • Research, evaluate and document tax implications of business transactions and provide guidance
  • Assist in audit defense for audits in the US, state and local and abroad - support local teams with compiling documentation, responding to IDRs and working with local advisors to formulate the audit defense strategy
  • Proactively monitor and communicate all legislative and regulatory tax law developments (US, state and local and non-US)
  • Work closely with tax compliance group to ensure proper reporting, including U.S. international and local international tax reporting
  • Develop and maintain tax models to maximize tax savings and minimize negative consequences of newly proposed and newly enacted laws
  • Work closely with the legal department to rationalize the legal entity structure in an efficient manner to drive annual cost savings
  • Partner with Treasury and Accounting to manage and drive efficient cash flows, repatriation, cash pooling and internal debt structure
  • Assist with other tax department projects, such as compliance or provision on an as-needed basis
  • Review and assist with the quarterly and annual ASC 740 tax positions and documentation (e.g., legal memoranda)
  • Create, review, and provide internal control documentation required by Sarbanes-Oxley
  • Break out of responsibilities: 50% Planning and M&A, 20% Audit Defense, 20% Compliance, 10% Tax Provision

  • Bachelor's degree required with advanced degree in tax or Juris Doctorate preferred
  • Minimum of 4-6 years of tax planning experience in public accounting, law firm or a large corporate tax department. Public accounting or law firm experience required
  • Experience with U.S. Federal, state and local, and U.S. international (including TCJA provisions such as GILTI, FDII, etc.)
  • Willingness to "roll-up sleeves" to contribute to success of the department
  • Experience with communicating and influencing stakeholders and coordinating/leading projects
  • Knowledge of tax compliance and tax accounting a plus
  • Demonstrated exceptional communication, collaboration, process management, and organization skills
  • Familiarity with Checkpoint and CorpTax suite of products preferred but not required
