About the job

The General Counsel will serve as an advisor and oversee legal functions, litigation, regulatory matters, right of way issues, commercial contracts, enterprise risk management, corporate governance, Board of Director relations, and management of outside counsel. Reporting to the Chief Executive Officer (CEO), this individual must be a catalyst, providing critical legal guidance and innovative solutions to achieve our strategic goals, mission, vision, and values. They must be able to align legal and business strategies to enable value creation. The General Counsel will guide legal and regulatory matters across the business, mitigate risk, and protect the Cooperative's brand and reputation. This role will serve as the privacy officer for the organization.

This is an exempt onsite position at our Sedalia office, located at 5496 North U.S. Highway 85, Sedalia, CO 80135; no remote or hybrid work options available

You will...

  • Provide strategic counsel on utility industry, corporate, and litigation strategies aligned with the organization's mission.

  • Collaborate with executive leadership, board members, and departments to mitigate legal risks, ensuring organizational goals are met.

  • Develop short- and long-term strategies impacting the organization.

  • Support board of directors, executive team, and divisions with expert and strategic counsel

  • Direct, oversee, and control legal activities and functions to ensure legal posture is developed and maintained.

  • Build strong relationships with the executive team, employees, and the Board of Directors.

  • Provide officers and directors with advice and guidance in identifying the critical problems to which the application of legal principals to minimize risk.

  • Work with all departments on developing and modifying policies and procedures to conform to legal requirementsand regulations and recommends changes with the goal of minimizing risk.

  • Keep fully informed on all federal state and local laws and legislation affecting the organization's operations, new developments regarding CORE legal matters, and keeps all levels of management and the Board informed as appropriate.

  • Understand the strategy and value creation levers for the business and reflect those in the legal strategy.

  • Proactively engage management around strategic business issues.

  • Anticipate and develop strategies to address changes in regulatory requirements and public policy.

  • Develop the corporate risk profile and a strong company-wide compliance framework.

  • Participate in the development, structuring and implementation of business transactions.

  • Manage contractual documents and lead in their negotiation and performance.

  • Serve as a trusted business adviser who is sought out to proactively help the business develop solutions.

  • Lead in building a strong corporate culture aligned with the Cooperative's values.

  • Challenge the status quo as a change agent.

  • Develop and implement performance metrics for the legal and risk function and outside counsel.

  • Responsible for accurate forecasting, reporting and management of legal spend.

  • Draft and negotiate partnership and joint venture agreements.

  • Oversee the permitting of development and operating projects; acquisition and divestiture of assets, projects and businesses; and handling of litigation and alternate dispute resolution proceedings.

  • Determine the use of and manages relationships with outside counsel.

  • Perform all other related duties as assigned.

We are excited to speak to someone with the following...

  • A JD Degree from an accredited U.S. law school with Fifteen years' legal experience, preferably with energy and/or utility industry.

  • Active member of the CO state bar in good standing or the ability to obtain Colorado Single-Client Counsel Certification.

  • Experience negotiating and structuring complex commercial transactions, project development and finance, mergers and acquisitions required.

  • Experience negotiating power purchase agreements, renewable energy project and power generation developments preferred.

  • Experience with electric utility rates and regulation, wholesale markets and electric transmission preferred.

  • Keen attention to detail/high level of accuracy.

  • Must possess excellent written and verbal communication skills.

  • Ability to drive results, provide solutions and prioritize multiple projects independently.

  • Strong knowledge, skill, and experience in general corporate law.

  • Must possess strong, independent work ethic, resourcefulness, and flexibility.

  • Must be able to perform autonomously and drive results.

  • Strong business and financial acumen as well as superior, analytical, and writing skills.

  • Experienced in effectively presenting information to boards and senior management.

Salary Range: $256,090 - $341,453 annually

This position is eligible for a discretionary annual bonus based on personal and company performance.
