Summary

Reporting to the General Counsel, the Deputy General Counsel will work closely with AeroVironment’s executive and senior management teams and board of directors on high priority strategic matters to support the company’s continued growth. The Deputy General Counsel will provide a broad range of corporate, securities, and transactional legal advice and support to the company’s board of directors and business and functional leaders across the company. The position will also have significant responsibility in providing legal support for M&A activities. The ideal candidate is an individual who can work independently, but also collaboratively in cross-functional teams, in a fast-paced environment and can prioritize and manage multiple projects across a variety of legal areas.

Position Responsibilities

  • Support the General Counsel in directing and managing the company’s legal & compliance matters.

  • Partner with executive and senior management to support the legal, compliance and business needs of the business.

  • Prepare and provide legal review of various public company securities filings (e.g. Forms 10-K, 10-Q and 8-K; Section 16 filings; registration statements, proxy statements, etc.), for a NASDAQ listed company.

  • Coordinate the annual meeting of stockholders.

  • Advise company management and the board of directors on legal and compliance matters and corporate governance requirements.

  • Support the board of directors and its committees by drafting meeting materials, resolutions, minutes, and written consents, and attending meetings.

  • Provide legal support on acquisitions, joint ventures and other strategic transactions and investments, including conducting due diligence and negotiating and drafting transaction documents.

  • Handle various compliance, labor and employment, legal dispute, and litigation matters, including by coordinating with outside counsel.

  • Support the investor relations and marketing departments with public disclosures, including press releases, earnings calls, investor call scripts and investor and analyst presentations.

  • Develop and maintain policies and procedures to ensure compliance with laws and regulations applicable to the company.

  • Draft, review, and negotiate a variety of complex commercial contracts, including but not limited to vendor agreements, leases, supply agreements, intellectual property licensing agreements, service agreements, and non-disclosure agreements.

  • Maintain knowledge of current relevant laws, regulations, and industry guidance that impact the company’s business.

  • Support the company’s ESG committee, including assisting in the preparation of the company’s annual corporate responsibility report.

  • Supervise other members of the Legal & Compliance Department

  • Develop and maintain relationships with internal and external stakeholders, including communications, investor relations and outside counsel.

  • Partners closely with senior management to support the legal and business needs of the organization and further the mission of the organization and its customers

  • Other duties as assigned

Basic Qualifications (Required Skills & Experience)

  • Juris Doctor (J.D.) degree from a top ABA-accredited law school is required

  • Bar admission in any state required; California Bar is preferred

  • Minimum of 10+ years of U.S. securities law compliance required

  • Prior in-house experience at a U.S. publicly traded company is a must

  • Experience working in the corporate department of a nationally recognized law firm

  • Strong business acumen with the ability to balance competing demands and priorities

  • Excellent analytical, communication, and project management skills with the ability to provide clear, concise advice on complex topics to business partners

  • Experienced in general corporate and transactional matters, including drafting transactional documents and contracts

  • Proficient in MS Office and other office software productivity tools

  • Occasionally may be required to travel within the Continental U.S.

The salary range for this role is:

$220,083 - $311,850
