Enterprise Mobility Vice President and Associate General Counsel in St. Louis, Missouri

Overview

As we continue to build our team in support of our vision to the be the world’s best and most trusted mobility company, the Corporate Legal Group is excited to announce the creation of a new corporate transactions leadership position – Vice President and Associate General Counsel.

This individual will have the opportunity to develop and implement global legal support for Enterprise Mobility’s corporate development and strategic investment activities. The position will report to the Chief Legal & Legislative Officer and serve as part of the Legal Group’s leadership team.

The successful candidate will help develop, build and oversee a consolidated practice area focusing on complex commercial transactions, including strategic investments, acquisitions and asset purchases, dispositions, financial structuring and joint ventures. While this position is office-based in St. Louis, the successful candidate will support our world-wide operations in North America, Europe, and the United Kingdom. As part of the Legal Group’s leadership team, this person will also help drive department initiatives, develop talent, and support the effectiveness of the overall department and enhance the use of matrixed-based responsibilities.

The position is responsible for providing timely and competent day-to-day legal services in support of various corporate development areas and across the Enterprise Mobility business lines. Supporting corporate, business-line and local opportunities, the successful candidate will, provide legal advice and support, negotiate transactional documents, review and manage legal and business due diligence efforts, provide guidance on regulatory compliance related issues, including global competition law considerations, while considering short and long-term legal risks.

With the convergence of mobility innovations, the advent of internet-connected vehicles and roll-out of alternative fueled and electric vehicles, the next ten years holds the potential to re-write the landscape in traditional vehicle mobility. As the industry evolves, Enterprise Mobility is embracing new types of businesses and services delivery that will require lawyers who are comfortable learning and advising in new areas and coming up with creative solutions to the issues of the day. As such, this is a fantastic role for a candidate looking to join a driven and dynamic team and develop their career in an industry-leading in-house legal function.

This role requires an attorney that can proactively think through problems, navigate evolving legal and regulatory environments, and find ways to support the company’s growth initiatives. The Vice President and Associate General Counsel has the opportunity to help build and lead a new practice area while also collaborating with business stakeholders and colleagues in EU, the UK, and North America and working on projects globally as part of cross-departmental functional teams. The selected individual must be collaborative, creative, efficient, and results-oriented – with outstanding oral and written communication abilities and the ability to work seamlessly in a fast-paced, team environment.

Responsibilities

  • Take on increasing responsibility for national-level and/or Company-wide legal matters.

  • Partner with business leaders to develop solutions to legal problems and challenges, providing strategic legal input and guidance.

  • Develop and recommend legal structures for business opportunities, including joint ventures, acquisitions, and contractual relationships; draft and negotiate related contracts, policies and procedures and other documents.

  • Manage outside counsel as necessary to ensure the delivery of efficient, high quality legal services.

  • Recommend and develop law-related training and preventative law activities.

  • Analyze, present and advise functional and management teams on corporate and business law issues.

  • Negotiate agreements for the provision of enterprise investment systems and financial risk and wealth management and other analytics tools.

  • Support the business development processes by providing key inputs and advice.

  • Support broader business requirements, including strategic partnerships and vendor relationships, as applicable.

  • Work in a fast-paced and business-oriented environment with business groups throughout the company.

Qualifications

  • Juris Doctorate from an accredited law school

  • 15 years of experience practicing law

  • 10 years of transactional law experience supporting fast growing businesses, either in house and/or outside counsel capacity

  • Experience with a variety of transactional matters including private companies and family-owned businesses

  • Demonstrable experience with complex commercial transactions including strategic investments, acquisitions, dispositions, financial structuring and joint ventures

  • High level of professionalism and integrity; strong ethical standards, and work ethic

  • Must be authorized to work in the US and not require sponsorship now or in the future

  • Licensed to practice law in at least one jurisdiction, with the ability to be permitted to practice in Missouri

Preferred Qualifications:

  • Prior management experience leading and developing a team
