About the Office of General Counsel:
The Office of General Counsel (OGC) provides legal services and support to the Board of Trustees, the Chancellor, and senior officers for the State University of New York (SUNY) at SUNY System Administration at Albany, New York, and the presidents and administrators of the campuses within the System. Under the leadership of the Senior Vice Chancellor for Legal Affairs and the General Counsel, the SUNY Office of General Counsel is responsible for providing legal services to the System and the 29 state operated campuses. The OGC consists of more than 45 experienced higher education attorneys, paralegals and support staff located in Albany at the System Administration headquarters and in campus-based offices at the four University Centers, Health Science Centers and various SUNY colleges. The legal practice of the OGC involves a substantial array of topics, including public procurement, governance and ethics, legislation, health care, capital construction, public finance, labor grievances and arbitration, litigation oversight (the State's Attorney General defends litigation brought against the University), student affairs, and the use of real property, among others. The OGC represents the State University in interactions with State officials who may regulate the affairs of the State University, including the Attorney General, State Comptroller, the Governor and staff and members of the State Legislature and staff as well as other state and local agencies and entities.Required Qualifications (as evidenced by an attached resume):
Juris Doctor (JD) degree (or foreign equivalent). Two (2) years of continuous and recent legal experience in drafting, reviewing, revising, negotiating, finalizing and completing various types of contracts. Admitted to the New York State Bar in good standing or eligibility for admission within one (1) year.Preferred Qualifications:
Additional years (3+) of continuous and recent legal experience in drafting, reviewing, revising, negotiating, finalizing and completing various types of contracts. Experience drafting, reviewing and negotiating complex contracts. Legal experience working in higher education, government, healthcare or public company setting.
Brief Description of Duties:
The successful candidate will competently and comprehensively review, negotiate and provide legal advice on Stony Brook University, Stony Brook University Hospital, State University of New York and State of New York contract matters including review and approval by the New York Attorney General and the New York State Office of State Comptroller. The candidate will also assist in developing policies and procedures involving procurement and other pertinent areas relating to contracts. They must have excellent communication skills in working with clients, vendors and regulators.

  • Draft, review, revise, negotiate and finalize agreements, identify issues of concern that would impede approval by the State and advise on these matters.
  • Identify pertinent issues of concern, risks and conflicts and discuss with various clients throughout University and Hospital.
  • Communicate as needed with external regulators (AG/OSC) to respond to and to resolve complex issues.
  • Support the uniform contract review and approval processes and assist in drafting and/or reviewing policies relating to procurement.
  • Create and implement playbooks, guidelines and best practices for contract review.
  • Other substantive areas of responsibility not related to contract law/review may also be assigned and expected to be learned.
  • Other duties or projects as assigned as appropriate to rank and departmental mission.

This is a Management Confidential position. This is a full-time appointment. FLSA Exempt position, not eligible for the overtime provisions of the FLSA. Minimum salary threshold must be met to maintain FLSA exemption.Essential Position: This has been designated as an essential position based on the duties of the job and the functions performed. Positions that are designated as such may be required to report to work/remain at work even if classes are canceled, and the campus is working on limited operations in an emergency.Internal and external search to occur simultaneously. Evening, night and/or weekend work may be required. Travel may be required to Albany, NY in order to attend training and/or conferences. Rank will be determined based on years of experience. This position will be based on-site working in Stony Brook, New York.
